TERMS AND CONDITIONS OF SALE AND USE

1- PURPOSE

These general terms and conditions of sale and use (GCSU) govern sales by LIFE’S CODE, SASU, with capital of €10,000, registered in the PARIS Trade and Companies Register 849711551, VAT FR79849711551, whose registered office is located at 198 rue Championnet, 75018 PARIS, of its products in mainland France and abroad, as well as LIFE’S CODE’s relationship with its customers.

By placing an order, the customer acknowledges that he/she has read and understood these terms and conditions of sale and expressly declares that he/she accepts them unreservedly. No general or specific condition appearing in documents sent or handed over by the customer may be incorporated herein insofar as such documents are incompatible with these general conditions. Sending an order to the customer for a product presented in the LIFE’S CODE electronic catalog implies acceptance of these general terms and conditions of sale, which prevail over any clauses added by the customer and govern the contractual relationship between the two parties.

2- ORDERS

Orders can be placed by creating an account on the website ( www.lifes-code.com ). All orders placed on the website www.lifes-code.com implies acceptance of the present General Terms and Conditions of Sale (GTCS).

Contractual information is presented in French and will be confirmed at the latest when your order is validated.

LIFE’S CODE reserves the right not to register a payment, and consequently not to confirm an order for any reason whatsoever, particularly in the event of a supply problem, or in the event of any difficulty concerning the order received.

The generating fact of the order is materialized by the “click of validation” which has value of signature. The information provided by the buyer is binding. LIFE’S CODE shall not be held liable for any inability to deliver the product in the event of an error in the recipient’s details. LIFE’S CODE confirms acceptance of the order to the customer by e-mail to the address provided. The sale is concluded as of this acceptance.

The customer is advised to store or print the order form which is then issued.

3- PRICES AND DELIVERY CHARGES

LIFE’S CODE product prices are quoted in euros, inclusive of all taxes (VAT and other taxes applicable on the date of the order), unless otherwise stated and exclusive of processing and shipping costs. All orders, whatever their origin, are payable in euros. The price guaranteed to the customer is that shown on the product sheet on the date the order is accepted by Life’s Code.

LIFE’S CODE reserves the right to change its prices at any time, but the product will be invoiced on the basis of the price list in force at the time the order is validated and subject to availability.

The products remain the property of LIFE’S CODE until full payment has been received.

Please note: as soon as the customer takes physical possession of the products ordered, the risks of loss or damage to the products are transferred to the customer.

Transport of items ordered in France and abroad is at the customer’s expense for all orders under €59. Postage is charged from € 5.00 including VAT in metropolitan France. and internationally by Colissimo with signature (prices vary according to delivery method and country). Customers who are absent at the time of delivery will have 15 days to collect the parcel from their post office or Mondial Relay relay point, or 8 days from a Chronopost relay point. Any package not claimed by the customer within this period will be returned to Life’s Code by the postal services (or other carrier). If the customer wishes to collect the products, they will have to pay the shipping costs once again. At the time of ordering online, customers can choose the relay point where they wish to collect their parcel.

4- PAYMENT

The fact of validating the order implies for the customer the obligation to pay the indicated price.

We accept the following methods of payment:

By credit card, using the secure Cyberplus system (Banque Populaire e-transactions). At the time of ordering online, customers can choose the relay point where they wish to collect their parcel.

Payment is made online by CB, Visa and Mastercard credit cards. LIFE’S CODE uses Banque Populaire’s secure Cyberplus system, one of the most reliable online security systems available on the Internet. Payment by credit card is an SSL-encrypted system in which only Cyberplus has access to all the customer’s confidential information (card number, validity date and cryptogram). This information is not communicated to LIFE’S CODE and is inaccessible to third parties.

Paypal account users can pay for their order in total security by using their Paypal account directly.

The order will be considered effective once the bank payment centers have given their approval and LIFE’S CODE has sent the customer a confirmation e-mail. In the event of refusal, the order will be automatically cancelled and the customer notified by e-mail, post or telephone. LIFE’S CODE reserves the right to refuse any order from a customer with whom a dispute exists.

By cheque. Payment can be made by cheque made payable to LIFE’S CODE. In this case, the order is considered effective, and the products are shipped, only when the check has been received and cashed.

By bank transfer. Payment can be made by bank transfer to LIFE’S CODE using the following bank details:

In this case, the order is considered effective, and the products are shipped, only when the transfer has been received and recorded on the bank account of the company LIFE’S CODE. The order reference must be mentioned in the text sent to the beneficiary.

5- RETRACTION

In accordance with the provisions of article L.121-18 of the French Consumer Code, the customer has a cooling-off period of 14 days from receipt of the products to exercise the right of withdrawal without having to give any reason or pay any penalty.

Returns must be in their original condition and complete (packaging, accessories, instructions). In this case, the customer is liable. Any damage suffered by the product on this occasion may defeat the right of withdrawal. This right of withdrawal can never be exercised if the products have been removed from their original packaging.

The product in its original packaging must be sent at the customer’s expense. These shipping costs (8€ for metropolitan France) will be deducted from the refund amount. The customer must stick the return label provided by the seller on the parcel before dropping it off at a postal outlet or Mondial Relay or Relais Colis point, according to the instructions provided by the seller by e-mail.

If the right of withdrawal is exercised, LIFE’S CODE will reimburse the sums paid within 14 days of receipt of the goods returned by the customer.

Reimbursement may be made by the same means of payment as that used to place the order (by credit card, paypal, bank transfer or cheque where applicable).

Nb: If the customer has benefited from free shipping at the time of purchase (if the order exceeds 59€), he/she will have to pay the initial shipping costs. This amount, which varies according to the choice and country of delivery, will also be deducted from the total amount of the refund.

In accordance with Article L.221-5 of the French Consumer Code, LIFE’S CODE provides the customer with the following model withdrawal form:

EXCEPTIONS TO THE RIGHT OF WITHDRAWAL

In accordance with the provisions of article L.121-21-8 of the French Consumer Code, the right of withdrawal does not apply to :

  • Supply of audio or video recordings.

  • The supply of digital content not provided on a tangible medium, the performance of which has begun after the consumer’s express prior agreement and express waiver of his right of withdrawal.

6- AVAILABILITY

LIFE’S CODE products are offered for sale as long as they are visible on the www.lifes-code.com website. In the event of product unavailability after your order has been placed, the customer will be informed by e-mail. THE order will be automatically cancelled and no bank debit will be made.

7- DELIVERY

All or part of the packages are prepared and dispatched by LIFE’S CODE’s service provider: ESAT – Bon Encontre (47).

Relay point delivery – with signature

Once the parcel has been prepared, it will be delivered to the destination by Mondial Relay within approximately 5 to 6 days, against signature. The customer will be notified by e-mail when the parcel arrives at the collection point. They can then collect their parcel from the chosen relay point, within 15 days for Mondial Relay and 8 days for Chronopost. The customer can track the progress of his parcel on www.mondialrelay.fr or www.chonopost.fr using the reference number sent to him by e-mail at the time of dispatch. If the customer does not pick up their parcel in time, they will have to pay the shipping costs again for the parcel to be reshipped.

Colissimo Domicile – with signature

Once the parcel has been prepared, it will be delivered within 48 hours and signed for. If the customer is absent, a delivery notice will be left, allowing them to choose a new delivery date on the Internet within 6 working days, or to collect their parcel from the post office of their choice the following day at 3pm. If the customer does not make a choice, they can collect their parcel from their local post office within 15 days. The customer can track the progress of his parcel on www.colissimo.fr using the reference number that will be sent to him by e-mail when the parcel is dispatched. If the customer does not pick up their parcel in time, they will have to pay the shipping costs again for the parcel to be reshipped.

Products will be sent to the delivery address indicated by the customer during the order process. LIFE’S CODE cannot be held responsible for the impossibility of delivering the product in the event of an error in the recipient’s details. Any contribution to shipping costs includes VAT. LIFE’S CODE undertakes to deliver the items ordered as quickly as possible, and whenever possible to dispatch the package within 48 hours of order confirmation. The customer will receive his parcel within an average of 4 working days (including postal time) and a maximum of 15 working days. In the case of delivery by Point Retrait, a cell phone number is required so that the customer can be kept informed of the arrival of the order. LIFE’S CODE cannot be held responsible for delivery problems if the telephone number entered is incorrect or missing. In the event of a delay in shipment, an e-mail will be sent to the customer to inform him of any consequences for the delivery time indicated. In accordance with legal provisions, in the event of late delivery, the customer may cancel the order in accordance with the terms and conditions set out in article L 216-2 of the French Consumer Code. For reasons of availability, an order may be delivered to the customer in several instalments, in which case the customer pays for only one delivery. If the customer requires 2 delivery locations, he/she must place 2 orders with the corresponding delivery charges. Depending on the value of orders, LIFE’S CODE reserves the right to dispatch packages with delivery against signature.

Damaged parcel

If the customer notices that the parcel is damaged on delivery, he/she must refrain from opening it and quickly make the usual observations within the statutory time limits with La Poste (if delivery by Colissimo) or the chosen carrier.

8- GUARANTEE

In the event of non-conformity of a product sold, it may be returned, exchanged or refunded.

LIFE’S CODE must accept all returns of products eligible for warranty (applicable in the event of a product defect). To this end, the customer must send a detailed description of the defect by post or e-mail to LIFE’S CODE Customer Service at SAV LIFE’S CODE – 198 rue Championnet 75018 Paris or by e-mail to contact@lifes-code.com. If the product is found to be defective, LIFE’S CODE will provide the customer with information on how to return the product. Products must be returned properly protected, in their original packaging, using the label provided by customer service, accompanied by the original sales invoice (a copy of which must be retained by the customer) and all components (accessories, packaging, instructions, etc.). The costs and risks of returning the product are at the customer’s expense. No warranty is given for defects or damage caused by external events or accidents, including failure to observe product storage and preservation instructions. The warranty does not cover products damaged in transit or by misuse. This provision shall not preclude the legal warranty for hidden defects defined in articles S1641 et seq. of the French Civil Code, when the product is sold to a consumer or non-professional. LIFE’S CODE’s advice: remember to check the conformity and condition of the product at the time of delivery.

The provisions of this Article do not prevent the customer from benefiting from the right of withdrawal provided for in Article 6.

9- LIABILITY

LIFE’S CODE shall not be held liable for any damage resulting from improper use of the product purchased.

Finally, LIFE’S CODE cannot be held liable for any inconvenience or damage inherent in the use of the Internet, in particular a break in service, external intrusion or the presence of computer viruses.

LIFE’S CODE makes every effort to ensure that the information published on the site is as accurate as possible. However, LIFE’S CODE does not guarantee that product descriptions or any other content on the site will be accurate. www.lifes-code.com are accurate, complete, reliable, up-to-date or error-free. If a product offered by LIFE’S CODE does not conform to its description, the customer’s only recourse is to return it.

10- FREE PERSONAL CONSULTATION

LIFE’S CODE offers a free 15-minute telephone consultation with a LIFE’S CODE naturopath with every purchase.

This offer is valid from the date of purchase shown on the invoice for up to 30 days. After this date, the offer will no longer be valid. The invoice for the order will serve as proof to validate the private session with the LIFE’S CODE naturopath. After completing the online questionnaire within 30 days of purchase, an appointment will be made with one of our LIFE’S CODE naturopathic therapists, based on the customer’s availability, to arrange the time and day of the telephone call. The customer will receive a summary e-mail with information about the appointment.

Once an appointment has been made between the customer and the LIFE’S CODE naturopath, only one appointment cancellation will be accepted. Any other cancellation or non-availability will be considered as a renunciation of this offer. Under no circumstances will the customer be entitled to a refund or to another free appointment.

Any other particular case will be assessed between the customer and the company.

11- PROMOTION AND TARGETING

Sponsorship. Sponsorship and promotional codes cannot be combined with any other promotional offers (current promotions on the site, promotional codes, etc.).

Cookies and Web Beacons: The LIFE’S CODE website uses a technology called “cookies”. A cookie is a small element of data that a Web site can send to a customer’s browser, which may then be stored on the customer’s hard drive to allow LIFE’S CODE to recognize the customer when the customer returns to the site. LIFE’S CODE uses cookies on pages of its website where the customer is asked to log in or on pages that are customizable. If the customer is registered on the website, these cookies help LIFE’S CODE to identify the customer and may be necessary to provide the customer with the products and services they request. These cookies also provide LIFE’S CODE or its service providers with information that LIFE’S CODE will use to customize its website according to the customer’s preferences. Customers can set their browser to notify them when they receive a cookie. However, if you choose not to accept cookies from the website, you may not be able to take advantage of all the features of the LIFE’S CODE website.

The LIFE’S CODE website may also use a technology called “tracer tags” or “web beacons”. This technology identifies the pages of the website that the customer visits. These “tracer tags” are used to help LIFE’S CODE optimize and personalize its website for its customers and future website visitors.

12- APPLICABLE LAW – DISPUTE RESOLUTION

These conditions of sale are governed by French law. This contract is governed by French law. LIFE’S CODE shall not be held liable for any damages of any kind, whether material, immaterial or physical, which may result from the improper use of the products marketed. LIFE’S CODE’s liability shall in any event be limited to the amount of the order and shall not be held liable for simple errors or omissions that may have occurred despite all the precautions taken in the presentation of the products. In the event of difficulties in the application of the present contract, the customer will have the possibility, before taking any legal action, of seeking an amicable solution, notably with the help of a professional association in the sector, a consumer association, or any other advisor of his choice. As a general rule, and subject to the discretion of the courts, compliance with the provisions of this contract relating to the contractual warranty assumes that the customer honors his financial commitments to the seller, and that he consumes the product in an appropriate manner. In the event of a dispute, the customer should first contact LIFE’S CODE for an amicable solution. Failing this, the Paris Commercial Court shall have sole jurisdiction, irrespective of the place of delivery and method of payment concerned.

In accordance with article L. 616-1 of the French Consumer Code, all consumers have the right to have recourse, free of charge, to a consumer mediator for the amicable resolution of a dispute with a professional.

13- FORCE MAJEURE

Neither party will have failed in its contractual obligations to the extent that their performance is delayed, hindered or prevented by an act of God or force majeure. Acts of God or force majeure shall be deemed to be any facts or circumstances that are irresistible, external to the parties, unforeseeable, unavoidable, beyond the control of the parties and which cannot be prevented by the latter, despite all reasonable efforts. The party affected by such circumstances will notify the other within ten business days of becoming aware of them. The two parties will then meet within one month, unless this is impossible due to force majeure, to examine the impact of the event and agree on the conditions under which performance of the contract will continue. If the case of force majeure lasts longer than three months, the present terms and conditions may be terminated by the injured party. The following are expressly considered to be cases of force majeure or fortuitous events, in addition to those usually accepted by the jurisprudence of French courts and tribunals: blockage of means of transport or supply, earthquakes, fires, storms, floods, lightning, stoppage of telecommunication networks or difficulties specific to telecommunication networks external to customers.

14- RESERVATION OF OWNERSHIP

All site elements www.lifes-code.com are and remain the exclusive intellectual property of LIFE’S CODE. No one is authorized to reproduce, exploit, rebroadcast, or use for any purpose whatsoever, even partially, elements of the site whether software, visual or audio. Simple or hypertext links are strictly prohibited without the express written consent of LIFE’S CODE. LIFE’S CODE retains full ownership of the products sold until full payment of the price, including principal, costs and taxes. Payment shall not be deemed to have been made until LIFE’S CODE has actually received payment. The risks are transferred to the customer as soon as the products are handed over to the carrier. The customer undertakes to take every care in the custody and preservation of the products. The customer may not resell, hire out or pledge any part of the products before full payment of all sums due to LIFE’S CODE.

15- PERSONAL DATA

LIFE’S CODE reserves the right to collect personal information about the customer. This information is required to manage the customer’s order, and to improve the services and information sent to the customer.

It may also be transmitted to companies that contribute to this relationship, such as those in charge of executing services and orders for their management, execution, processing and payment. This information and data is also stored for security purposes, in order to comply with legal and regulatory obligations.

In accordance with the French Data Protection Act (Loi Informatique et Libertés) of January 6, 1978, customers have the right to access, rectify and object to nominative information and personal data concerning them. Through LIFE’S CODE, the customer will never receive offers from other companies or organizations. To rectify this information, or if the customer does not wish to receive any information, simply log in to their account or contact LIFE’S CODE, indicating their full name, address and latest invoice number.

16- ARCHIVING EVIDENCE

LIFE’S CODE will archive order forms and invoices on a reliable and durable medium constituting a true copy in accordance with the provisions of Article 1348 of the French Civil Code.

The computerized records of LIFE’S CODE will be considered by all parties concerned as proof of communications, orders, payments and transactions between the parties.

18- WARNING
